This document is a legally binding agreement between BDI and You if you access or use or transact on the Platform and buy products or avail Services. You acknowledge and agree that the Platform is a business to business (B2B) platform and only the business entities through its authorised representatives can transact using this platform for the purpose of   resale, trade, business, institutional and/or industrial use and not for personal consumption.

This document and such other rules and policies of the Platform (Including but not limited to Privacy policy, Use of Cookies, FAQs) as may be amended from time to time are collectively referred to below as the “Terms”. BDI reserves the right, at its sole discretion, to change, modify, add or remove portions of these terms, at any time without any prior written notice to you. By accessing, browsing, or otherwise using the Platform or using the Services, including following the posting of changes, you agree to accept and be bound by the terms (as may be amended from time to time).

PLEASE READ THE TERMS CAREFULLY BEFORE PROCEEDING. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM OR THE SERVICES PROVIDED BY THE PLATFORM OR BDI. By impliedly or expressly accepting these terms, you also accept and agree to be bound by any amendments, updates and modifications to the terms and the other policies (including but not limited to, Privacy Policy), as maybe amended, updated and modified from time to time. It is your responsibility to review these terms periodically for any updates / changes. Please do not use the Services or access the Platform if you do not accept the terms in totality or are not willing to be bound by the terms.

ELIGIBILITY TO REGISTER

BDI unequivocally clarifies that this platform is only for the purpose of wholesale trading which means that this platform is available only to the retailers, industrial, commercial, institutional or other professional business users or to other wholesalers and related subordinated service providers. Accordingly, sales through this platform is meant only for the purpose of trade, business and profession and not for the purpose of personal consumption. Therefore, only the above mentioned category of buyers with an active business licence or GST number can register on this platform. By registering on this platform and transacting with BDI either through this site or off line, you confirm that you are dealing with BDI on behalf of a business entity with an active GST registration number and not as a direct consumer.

You acknowledge that you are required to complete the registration process and submit a valid business license or GST registration number as a pre-condition to use this platform. All fields in the registration page must be duly filled by you and you will not be approved to transact using this platform as a Buyer if you provide incomplete or inaccurate information and / or fail to provide a valid business license or GST registration number. BDI reserves the right to verify the information provided to confirm its authenticity. Only after the successful verification by BDI, you will be allowed to use the platform. You also agree to furnish additional information and provide documentary proof as may be requested by us, from time to time, for the purposes of verification of your user account information.

BDI shall rely on the copy of the business licenses/documents provided by you or the GST registration number submitted by you as part of the registration process. You undertake that the business licenses / documents submitted or the GST number provided are genuine and valid at the time of effecting the transaction. You agree that submitting untrue, inaccurate, not current or incomplete details might lead to suspension (until satisfactory details are submitted) or termination of your account without any notice and you will not be allowed to access this platform any further. You may contact the customer care and provide the correct details, which upon verification if found to be in line with the requirements, access will be restored after effecting suitable changes. You also agree to notify BDI immediately if there is any change in the information furnished by you, as part of the registration process, including but not limited to, changes in business name, address, E-mail ID, contact number, authorized representatives, GST number becoming inactive, suspension/ cancellation of the business license, discontinuation of business, etc.

BDI unequivocally clarifies that you are allowed to use this platform to procure the products from BDI only if you qualify as a “business customer” and on a “wholesale basis”.  You confirm that any products purchased through this platform will exclusively be for the purpose of resale, trade, business, institutional and/or industrial use and not for personal consumption. Your business address as per the GST Registration certificate shall be the default billing and shipping address in all the Invoices generated by BDI if you place an order.

Transaction on the Platform is available only to the persons who can enter into legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including un-discharged insolvents etc. are not eligible to use the Platform.

CONFIDENTIALITY OF YOUR ACCOUNT CREDENTIALS AND BDI’s RIGHTS

You shall be responsible for maintaining the confidentiality of your login credentials such as user ID and Password and you shall accept responsibility for all activities that occur through your login. You shall also ensure to maintain your current contact details in the platform always.

You agree that BDI shall not be liable or responsible for the activities or consequences of use or misuse of any information that occurs under your account on the Platform in any case, including, where you have failed to update your contact details or maintain the confidentiality of your login credentials.

If you share or allow others to have access to your Account on the Platform by creating separate profiles under your Account as an Administrator, or otherwise, they will be able to view and access your account information. You shall be solely liable and responsible for all the activities undertaken under your account as well as the additional buyer accounts created by you, and any consequences therefrom.

BDI can, at any time, terminate your account or place your account on hold in order to protect its interests if it notices any fraudulent activity. BDI reserves the right to immediately terminate, suspend, limit, or restrict your access or use of the Platform and/or the services, at any time, without any notice or liability, if BDI so determines, in its sole discretion, for any reason whatsoever, including that you have: (a) breached any of the terms of use or the Privacy Policy or (b) violated any applicable law, rule, or regulation; or (c)  Engaged in any inappropriate or unlawful conduct; or (d) provided any false or inaccurate information; or for any other reason that BDI deems fit in its sole discretion.

COMMUNICATIONS

You agree and understand that you are communicating with BDI through electronic records whenever you use the platform or send emails. By doing so, you also consent to receive communications via electronic records from us, periodically, and as and when required. We may communicate with you by email or by any other mode of communication, electronic or otherwise.

SALES POLICY

The contents of this sales policy apply to the purchase of all the products & Services from BDI unless otherwise specified by local laws.

NOTICE OF DEVIATIONS: Generally, transactions are conducted smoothly on the Platform. However there may be some cases where you may face issues related to a transaction. Any deviations pertaining to shortages or wrong supplies must be brought to BDI’s notice within Three (3) days of delivery of the products or within Seven (7) days of the consignment reaching the destination, whichever is earlier. Upon receipt of such notice, BDI will evaluate the complaint and will get in touch with the Customer to explore the remedial options available including but not limited to a) processing the refund, b) Shipping the right parts c) Making good of the shortage etc.  

TECHNICAL DETAILS & ALTERNATIVES DISCLAIMER: While technical details, the dimensions of the parts, product images or catalogue are as accurately compiled as possible and every effort has been made to validate the accuracy and consistency of the content, BDI shall not accept any responsibility or liability for errors and does not make any warranty or guarantee as to this information. The applicable manufacturer may also change dimensions or part numbers or other information without notice. Customers are advised to refer to the manufacturer’s catalogue for the current and updated technical details. Also the parts that are listed as alternatives are potential alternatives or equivalents based upon product attributes and may not be exact or one-to-one replacement. BDI does not guarantee its suitability to the application. Application and suitability of any product is solely at the risk and liability of the customer. If you have any questions about the specifications of any products, please verify with your local branch or the manufacturer before ordering. Articles under Knowledge Base and Success made easier are to provide insight into the performance enhancement activities carried out at various customer locations. Due to variations in the operating environment replicating a similar approach may not yield similar results.

PRODUCT SUITABILITY: Many localities have codes and regulations governing sales, construction, installation, and/or use of products for certain purposes, which may vary from those in neighbouring areas. While BDI attempts to assure that its products comply with such codes, it cannot guarantee compliance, and cannot be responsible for how the product is installed or used. Before purchase and use of a product, please review the product application and local codes and regulations, and be sure that the product, installation, and use will comply with them.

CANCELLATION, RETURN AND REFUND POLICY: Customers can cancel the purchase order(s) at any point of the time before shipping the consignment. Once the consignment is shipped, customer has the choice to return either in full or partial after obtaining a prior return approval from BDI by contacting the customer care or the local branch. Products classified as ‘Special Order’, ‘Made-to-Order’, 'Non-Cancelable', or 'Non-Returnable' or items that have been used, modified, tampered, damaged, exposed to atmosphere or adjusted by the customer in any manner cannot be returned. All returns must be in their original packaging and without any markings or damages on it. On receipt of the return goods, BDI will inspect and determine final condition of the product, which may result in the denial of the return of the product due to one or many of the above mentioned conditions. Upon satisfactory inspection and an approval of return, BDI will issue a ‘credit note’ which can be adjusted during the next payment or the refund will be processed to the same account from which the payment was made. BDI will make reasonable efforts to finalize the return within five (5) working days of receipt of goods.

LIMITED WARRANTY: Products are sold only with such warranties as may be extended by the manufacturer of the product purchased that may be accessed in the websites of the manufacturers or availed from BDI on specific request. BDI makes no other warranty whatsoever and THERE ARE NO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WHATSOEVER. IN NO EVENT ARE WE RESPONSIBLE FOR INCIDENTAL AND CONSEQUENTIAL DAMAGES, OR FOR MORE THAN THE ALLOCABLE PRICE OF THE DEFECTIVE PRODUCT. Buyers are responsible for installation and use in accordance with manufacturers' instructions.

BDI will make a good faith effort for prompt correction or other adjustment with respect to any product which proves to be defective, within the applicable warranty period of the manufacturer of the product purchased. Before returning any product, immediately contact the BDI branch from which the product was purchased, giving the date and number of the original invoice, and describing the defect.

This limited warranty shall not be effective unless the products are properly mounted and lubricated and kept free of any foreign matter at any point of time. Buyers are responsible for installation and use in accordance with the manufacturers' instructions. The decision regarding the cause of the failure is at the sole discretion of BDI and / or the original manufacturer.

Our liability for any warranty claim, or for any claim arising out of the purchase or use of the products supplied by us, shall be restricted to the replacement of said products or Issuing of credit note for the actual Invoice amount of the said product. BDI shall not be liable for any consequential, incidental, or other damages sustained by purchaser, including but not limited to, Equipment downtime, loss of profits or revenue, cost of capital, cost of substituted product, facilities, services, or claims of purchaser’s customers for any damages.

BDI employees are not authorized to alter this Warranty Policy. All sales are subject to our Standard Terms and Conditions of Sale unless other specific terms are expressly agreed upon in writing by the Country Manager.

PRODUCT AUTHORIZATION POLICY: BDI may not be authorised to sell all the products in all the locations by the manufacturing partners. Please contact the customer care or the local branch for more information.

FORCE MAJEURE: Under no circumstances shall BDI be held liable for any losses, delay or failure or disruption of the content or services or products delivered through the platform resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labour disruptions, riots, insurgencies, civil disturbances, shortages or non-availability of labour or products, fires, flood, storms, explosions, acts of God, war, governmental actions, epidemics, pandemics, curfews, lock-downs, orders of domestic or foreign courts or tribunals or non-performance of third parties or any other circumstances or cause beyond the control of BDI in the conduct of its business.

GRIEVANCE MECHANISM AND REPORTING: You may submit any grievance with respect to the Platform & its policies or the Services or the products supplied by BDI including about any abuse on the Platform and/or any discrepancies or grievances with respect to processing of information or breach of privacy to the Grievance Officer at the contact details given below. We will endeavour to resolve your grievances and concerns within timelines as mentioned under applicable laws or within 30 days, whichever is earlier.

Grievance can also be made anonymously and will be kept confidential to the extent practicable and allowed by law. BDI shall investigate and, where appropriate, take remedial action to address reported incidents.

GOVERNING LAW: These Policies shall be governed by and construed in accordance with the laws of India. The place of jurisdiction shall be exclusively in Bangalore, Karnataka, India Only.
A printed version of these Policies and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Policies to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

NO THIRD PARTY BENEFIT: The provisions stated above are for the sole benefit of the parties hereto and confer no rights, benefits or claims upon any person or entity not a purchaser of the product purchased from BDI.

PRIVACY: Please review our Privacy Policy, which governs your use of Our Platform to understand our privacy practices in detail. Any information provided to us by you during the course of usage of Platform will be treated in accordance with our Privacy Policy and applicable laws and regulations. If you have any objection to your information being collected, used, transferred or otherwise processed by us, please do not register and / or use the Platform.

INDEMNITY: You shall indemnify and hold harmless BDI, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to, or arising out of, your breach of this Terms of use, Privacy Policy and other policies, or your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.
